Corporate Compliance

We accompany our clients through the process of implementing a regulatory compliance manual or compliance system to ensure that both the company and its directors, employees and related agents comply with the applicable regulatory framework.

Overview

After legal entities are found to be criminally liable, they may be charged and convicted in criminal proceedings. The penalties that can be imposed range from a fine to the dissolution of the company. However, organisations may be exempted from liability if they adopt a Regulatory Compliance Manual.

The objectives of the deployment of the Compliance System are:

• Assessment of the risks of non-compliance in order to define the changes/adjustments that need to be addressed in existing policies, procedures and controls, to minimize their occurrence. We also assist in the drafting of these policies, procedures and controls if they do not exist.

• Identification of opportunities to improve the company’s crime prevention program compared to similar programs of other related companies, taking into account possible infractions that have occurred in recent times, changes in the organization or the activities performed.

• Definition of an action plan for the implementation of the Compliance System, which includes: (i) appointing the Compliance Supervisor/s; (ii) establishing the functions of the Compliance Supervisor; (iii) establishing the reporting channel, the investigation system, and the disciplinary regime; (iv) organizing staff training; and (v) the relationship patterns with the different areas of the company.
