We have extensive experience in advising on all legal aspects of venture capital activity, providing our services to both private investors and national and international funds as well as to companies that are expanding and start-ups looking for investment.
At the transactional level, our practice encompasses the design, negotiation and execution of private equity and venture capital investments with a practical and multidisciplinary approach covering all phases of the process (including LBO’s, MBO’s and other types of sophisticated structures). In particular, we perform legal, labour and tax due diligence and prepare investment agreements and partner agreements. We also collaborate in all kinds of complementary actions that are necessary to bring the operation to a satisfactory conclusion. We also prepare incentive plans for managers and employees in the form of stock options and phantom shares.
In the regulatory field, we advise clients on the incorporation of management companies (SGEIC) and investment vehicles under any type of structure (VCC/VCF, EVCF, FESE and SICC/FICC) in all their legal needs. Among other aspects, we prepare files for submission to the CNMV, internal structural documentation and agreements with investors and service providers, as well as providing legal support in the fund-raising process.
